- Meridian Digital Enterprises LLC, a Wyoming limited liability company
These Terms of Service ("Terms") govern your access to and use of the Allidian software platform, websites, dashboards, APIs and related services (the "Services") operated by Meridian Digital Enterprises LLC, a Wyoming limited liability company ("we", "us"). By creating an account or using the Services, you agree to these Terms on behalf of yourself and the business you represent ("you").
Allidian is a payments software platform operated by Meridian Digital Enterprises LLC. Allidian is not a bank, money transmitter, payment processor or payment facilitator. Payment processing, merchant underwriting and settlement are provided by independent licensed or authorized third-party payment providers, under the merchant's own agreement with that provider. Merchant approval is decided solely by the payment provider.
1. The Services
Allidian provides software for merchant onboarding, hosted and embedded checkout, payment links, invoicing, subscriptions, reporting and developer tools. We are a software provider (an independent software vendor) only.
We are not a bank, payment processor, acquirer, money transmitter or payment facilitator. We do not hold, receive, transmit or settle merchant funds, and we do not approve, underwrite or decline merchants for payment processing.
2. Payment providers
To accept live payments you must enter into a separate agreement directly with a supported third-party payment provider (a "Provider"). The Provider performs underwriting, payment processing and settlement and decides, in its sole discretion, whether to approve, restrict or close your Provider account.
Your relationship with the Provider is governed by the Provider's terms. We are not a party to that agreement and are not responsible for the Provider's acts, omissions, fees, decisions or availability. See our provider disclosures.
3. Accounts and eligibility
- You must provide accurate, complete information and keep it up to date.
- You are responsible for all activity under your account, including by team members you invite and API keys you create.
- You must keep credentials and secret API keys confidential and notify us promptly of any unauthorised use.
- You must be authorised to bind the business you register.
4. Acceptable use
You must comply with our Acceptable Use Policy, all applicable laws, and your Provider's policies. We may suspend access to the Services for businesses or activity that violates the Acceptable Use Policy.
5. Plans, fees and billing
Paid plans are billed in advance on a monthly or annual basis as described on our pricing page. Paid plans may include a free trial. Fees are non-refundable except where required by law or stated otherwise.
Payment processing fees are set and charged by your Provider, separately from our fees. We do not deduct platform fees from your transactions unless you have expressly agreed to a transaction-level platform fee in writing and your Provider supports it.
6. Data and privacy
Our handling of personal data is described in our Privacy Policy. You are responsible for providing any notices to, and obtaining any consents from, your customers required for your use of the Services.
7. API and developer terms
You may use our APIs only as documented. We may apply rate limits, and we may change or deprecate API features with reasonable notice where practicable. You must not attempt to circumvent security, access other tenants' data, or interfere with the Services.
8. Intellectual property
We and our licensors retain all rights in the Services. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes during your subscription.
9. Suspension and termination
You may cancel at any time. We may suspend or terminate access to the Services for material breach, risk to the platform or others, non-payment, or as required by law. Termination of the Services does not by itself terminate your agreement with your Provider.
10. Disclaimers and limitation of liability
The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties. We do not guarantee that any Provider will approve your business or that any payment method will be available.
[Limitation of liability, indemnity and dispute resolution provisions to be finalised by counsel.]
11. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles. [Venue and dispute resolution terms to be confirmed by counsel.]
12. Changes and contact
We may update these Terms. For material changes we will provide notice and update the version shown above. Contact: legal@allidian.com · Meridian Digital Enterprises LLC, [Registered address to be provided].
